Amsterdam, 10 July 2012 --- AMG Advanced Metallurgical Group N.V.'s ("AMG", EURONEXT AMSTERDAM: "AMG") wholly owned subsidiary, AMG Mining AG ("AMG Mining") which owns approximately 93,59% of the nominal capital and the shares in Graphit Kropfmühl AG, Hauzenberg, Germany ("GK") informed GK on 1 June of its request to have the general meeting of GK resolve on a transfer of the shares of the minority shareholders against payment of an adequate cash compensation in connection with the intended merger of GK into AMG Mining. AMG Mining and GK have entered into a notarial merger agreement on 5 July 2012.
Today AMG Mining has confirmed and substantiated this request. Pursuant to a letter dated today, AMG Mining has requested the GK management board to have GK's general meeting resolve on a transfer of the shares of the minority shareholders to AMG Mining in connection with the merger of GK into AMG Mining against payment of a cash compensation in an amount of EUR 31,92 per share.
