* Says not got required approval from antitrust division of the U.S. Department
of Justice yet
* DOJ raised issues about overlap between stimulation/sand control businesses
of co and BJ in U.S. Gulf of Mexico
* Says likely all matters will not be finalized prior to the March 19th
meetings of stockholders
* Sees to convene and immediately adjourn stockholder meetings to a later date
if matter not finalized before March 19
* Cos do not expect any resolution to be material to the business or financial
