| # Please specify details | Pursuant to the waiver granted by the Singapore Exchange Securities Trading Limited (the "SGX-ST"), Value Harmony Limited (the "Company") is not required to convene an extraordinary general meeting to seek its' shareholders' approval for the voluntary delisting under Rules 1307 and 1309 of the listing manual of the SGX-ST. Accordingly, the exit offer (the "Exit Offer") by Kim Eng Corporate Finance Pte. Ltd, for and on behalf of the Company, to acquire all the issued ordinary shares and paid up ordinary shares in the Company (the "Shares"), other than those Shares already owned, controlled or agreed to be acquired by the Company and its concert parties as at the date of the exit offer, has become unconditional in all respects. The change in interest is a result of acceptances of the Exit Offer in the following manner: (a) 689,000 Shares on 15 March 2012 through acceptances of the Exit Offer at the price of S$0.19 for each share. |
