Leverkusen, Germany 02 May 2012 - In March 2012 Biofrontera AG has issued 4,402,682 new shares (New Shares), which were included into the company's registry on 30 March 2012. In the offer of the New Shares to existing shareholders and elsewhere it was announced that the New Shares will be introduced into the regulated stock market within the legal period, i.e. within one year. 

Since a financial service company has in the meantime - without involvement of the company - listed the New Shares in the open market of the Düsseldorf stock exchange on April 11, 2012, Biofrontera recognizes the need to introduce the New Shares into the regulated market immediately, in contrast to the original intention. The separate listing of Biofrontera shares in the open market (DE000A1MMD83) has opened the possibility of unjustified arbitrage deals, may have caused irritation with share holders and contributed to  a negative stock price development.

Today, the management of Biofrontera AG has therefore decided to apply for the listing of the New Shares in the regulated market, such that trading under the ISIN DE0006046113 can commence immediately following the company's ordinary share holder meeting, taking place on 11 May 2012.

The listing will not affect the contractual 2-year lock-up that was agreed upon with an investor for 2,017,896 New Shares (compare ad-hoc releases of March 2 and 23, 2012).
