considering granting managerial employees options pursuant to § 95 Section
6 of the Austrian Stock Corporation Act. This requires, pursuant to § 95

Board and, as options are likewise to be granted to members of the Managing
Board of the company, a report by the Supervisory Board pursuant to § 159
