PagesJaunes Groupe, a company listed on Euronext Paris, NYSE Euronext (PAJ FP), announces that the Board of Directors met on May 14th, 2013 in order to review the resolutions submitted by Mr Guy Wyser-Pratte relating to the appointment of 2 additional independent directors.
The Board of Directors recalls that its composition was modified on 27 March 2013 and 23 April 2013 following the financial restructuring of its former controlling shareholder Médiannuaire Holding. Although the Board is still composed of 11 members, it now includes 6 independent directors (as per AFEP/MEDEF criteria), 2 representatives of Cerberus, 1 representative of Mediannuaire Holding, Mr Jean-Pierre Remy, Chairman and CEO of PagesJaunes Groupe and 1 director representing PagesJaunes Groupe employees. All new independent directors were appointed in view of their professional skills and experience upon recommendation of the Compensation and Nomination Committee.
PagesJaunes Groupe reiterates that it fully complies with corporate governance best practice principles for listed companies recommended by AFEP/MEDEF, including as regards the independence of the Board of Directors, as more than half of the Board's directors are independent.
In light of the above mentioned elements, the Board has unanimously rejected the 2 resolutions submitted by M. Guy Wyser-Pratte aiming at providing 2 new board directors.
