Bank of America Corporation (the "Corporation") filed a Current Report on Form 8-K with the U.S. Securities and Exchange Commission ("SEC") on June 23, 2016, announcing that the board of directors (the "Board") of the Corporation appointed Michael D. White to serve on the Board, and appointed Mr. White to serve on the Audit Committee and the Compensation and Benefits Committee of the Board, all effective immediately. Mr. White is the recently retired chairman, president and CEO of DIRECTV. He is the former CEO of PepsiCo International, a division of PepsiCo, Inc. and former vice chairman and director of PepsiCo. Mr. White will receive compensation as a non-employee director in accordance with the Corporation's non-employee director compensation program described under the caption "Director Compensation" in the Corporation's definitive proxy statement on Schedule 14A filed with the SEC on March 17, 2016.
