* Enters into a definitive agreement to acquire Comaplex
* Says to buy all shares of Comaplex Minerals Corp it dides not already own
* Says under terms of the deal, shareholders of Comaplex, other than Agnico
Eagle-will get 0.1576 of a Agnico Eagle-share per Comaplex share
* Says if transaction is not completed Comaplex has agreed to pay Agnico
Eagle-a termination fee of C$20 million
