Inwido acquires Sovereign Group, a leading UK manufacturer and installer of PVC-U windows and door solutions, with sales of approx. GBP 23 million and a strong position in the social and affordable housing segment. The acquisition is aligned with Inwido's strategy to grow through value-creating acquisitions in attractive segments. Both the signing and the takeover were completed today.
Founded in 1973, Sovereign Group is regarded as a pioneer in the UK PVC-U market and has built a strong reputation over the years. The company serves Commercial clients within social housing, local authorities, schools, and regional housebuilders across the UK. Sovereign is headquartered in Nelson, Lancashire, where its manufacturing facility is located, and employs around 170 people. The majority owners are Gordon Weir, Managing Director, and David Fitton, Operational Director.
The acquisition further strengthens Inwido's presence in the UK and adds a well-established platform within social and affordable housing renovation - a segment characterized by long-term demand, high quality requirements and high barriers to entry.
"Sovereign Group is a highly respected company with strong customer relationships and deep expertise in delivering large-scale projects. The company is an excellent strategic fit for Inwido and complements our existing UK operations. We see attractive opportunities to support continued growth while preserving Sovereign's strong local identity and customer focus", says Fredrik Meuller, President and CEO of Inwido.
"Becoming part of Inwido gives us a strong long-term owner with extensive experience in our industry. This partnership will allow us to continue developing our offering, invest in our operations and create new opportunities for our employees and customers", says Gordon Weir, Managing Director of Sovereign Group.
Inwido acquires 70 percent of the shares in Sovereign Group at an EBITDA-multiple of 5.5x based on financial year 2025. (6.1x EBITA), with a call/put option for the remaining 30 percent in 2029. The profit margin is slightly below Inwido's average. The business becomes part of Inwido's Business Area West alongside Allan Brothers (UK), Carlson (IE), CWG Choices (UK), Dekko (UK), Fast Frame (UK), Sidey Solutions (UK), Victorian Sliders (UK) and Walker Profiles (UK). Sovereign will continue to operate under its existing brand and management.
