VANCOUVER, BC / ACCESSWIRE / March 22, 2019 / PowerBand Solutions Inc. (TSXV: PBX) (OTCQB: PWWBF) (Frankfurt: 1ZVA) ("PowerBand", "PBX" or the "Company"), announces that it has received conditional approval from the TSX Venture Exchange (the "TSXV") for an extension of the deadline and revised terms of its previously announced non-brokered private placement (the "Private Placement") (see news release dated February 5, 2019). The Private Placement is being repriced in order to more accurately reflect the recent market price of the Company's common shares. The Company intends to issue on a non-brokered Private Placement basis up to 30,000,000 common shares of the Company at a price of $0.10 per share for gross proceeds of up to $3,000,000. The Private Placement is expected to close on or before April 21, 2019.
The gross proceeds of the Private Placement will be used to fund the Company's continued U.S. expansion, software development, business development, administration and for general working capital purposes.
Finder's fees may be payable in accordance with the policies of the TSX Venture Exchange ("the "Exchange"). All securities issued in connection with the private placement are subject to a 4-month hold period in Canada.
