Admission of the 6,666,666 July 2026 warrant shares is covered by the block admission announced on 20 October 2026.

All the Warrant Shares will be issued credited as fully paid and will rank in full for all dividends and other distributions declared, made or paid after the admission of the warrant shares, respectively and will otherwise be identical to and rank on Admission pari passu in all respects with the existing ordinary shares.

Accordingly, the total number of voting rights in the Company will be 331,143,816 and shareholders may use this figure as the denominator for the calculations by which they will determine if they are required to notify their interest in, or a change to their interest in, the Company under the FCA's Disclosure Guidance and Transparency Rules.

Following this issue of the Warrant Shares, the Company has 126,253,206 warrants outstanding.

David Rajakovich, Chief Executive of Acuity RM Group plc, commented:

"The Board appreciates the support of all shareholders and this exercise by a long-standing shareholder of all their warrants, including those that would not have expired until July 2027, provides the Company with cash proceeds of £200,000 and additional resource to support the Group's growth plans."
