* CFIUS determined that there are no unresolved national security concerns with
the proposed acquisition
* Parties now expect to proceed expeditiously to close the transaction
* Agreed to settle previously disclosed purported class action lawsuit related
to proposed transaction
* Parties expect the transaction to close in mid-August 2010
