Fasadgruppen is acquiring the roofing contractor ProRakenne Oy in Oulu through its Finnish subsidiary RKC Construction Oy ("Rovakate").
ProRakenne was founded in 2014 and is led by its founder and CEO Tuomo Jurmu. The company has approximately 30 employees and generated revenue of approximately EUR 5.2 million in 2025. The business comprises roofing contracts in both new construction and renovation, specialising in waterproofing and bitumen roofing, and in recent years the company has also established itself in the growing data centre segment in Finland. Rovakate is already active in building envelope contracting for industrial customers in Finland and internationally. Together, the companies can offer a broader undertaking across the entire building envelope, while roofing works currently outsourced to external subcontractors can going forward be carried out within the group.

Transaction summary
Fasadgruppen acquires 100 percent of the shares in ProRakenne Oy. The acquisition is financed through existing cash and available credit facilities. The impact on Fasadgruppen's liquidity is expected to be limited, as the cash consideration is substantially offset by acquired net cash. Tuomo Jurmu will remain CEO and become a co-owner in Fasadgruppen's Finnish operations. Closing is expected to take place during the third quarter of 2026, subject to customary closing conditions.
Part of the consideration is settled through a long-term co-ownership instrument in Fasadgruppen's Finnish subsidiary, aligning incentives for the continued development of the business.
