OncoZenge AB: OncoZenge announces the preliminary outcome of the rights issue

OncoZenge AB (publ) (the "Company" or "OncoZenge") today announces the preliminary outcome of the rights issue of shares which the Board of Directors of the Company resolved upon on 25 August 2026 (the "Rights Issue"). The subscription period in the Rights Issue ended today, 18 September 2026, and the preliminary outcome indicates that a total of 8,894,465 shares, corresponding to approximately 80.0 percent of the Rights Issue, have been subscribed for with the support of subscription rights. In addition, the preliminary outcome indicates that applications have been received to subscribe for 1,333,583 shares without the support of subscription rights, corresponding to approximately 12.0 percent of the Rights Issue. In total, the preliminary outcome indicates that 10,228,048 shares, corresponding to approximately 92.0 percent of the Rights Issue, have been subscribed for with and without the support of subscription rights. Accordingly, the guarantee commitment by Vator Securities AB is not expected to be utilised. As a result of the Rights Issue, OncoZenge will receive expected gross proceeds of approximately SEK 30.7 million before deduction of transaction costs.

Notification of allotment

Allotment will be made in accordance with the principles set out in the information brochure published on the Company's website on 4 September 2026. Those who are allotted shares subscribed for without the support of subscription rights will receive contract notes, which are expected to be sent out after allotment has been completed. Those who have subscribed for shares without the support of subscription rights through a nominee will receive notification of allotment in accordance with the procedures of their respective nominee.

Final outcome

The final outcome of the Rights Issue is expected to be announced around 22 September 2026. Paid subscribed shares (BTA) will be traded on Nasdaq First North Growth Market until the new shares have been registered with the Swedish Companies Registration Office (Sw. Bolagsverket), which is expected to be around 9 October 2026.
