Emission & Power Solutions Signs Letter of Intent to Merge With Suter Technology Group

LONDON, Aug. 9 /PRNewswire/ -- Emission & Power Solutions, Plc ("EPS") (Ticker: EPI.F, Bloomberg ticker: EPI:GR) announced today that it signed a Letter of Intent to merge with Suter Technology Group AG (SUTEC) of Switzerland. Under the terms of the agreement, EPS will merge with SUTEC and its three subsidiaries: HybroTech, SeoTech, and Suter Aircraft. EPS will acquire and merge with the SUTEC-owned companies and combine its technologies, intellectual properties, and research and manufacturing facilities. SUTEC's engineering team will assist EPS in manufacturing and further development of its existing product line.

The planned merger will strengthen the position of both companies in Europe by increasing the complementary product portfolio and centralizing research and development. By manufacturing products at SUTEC's facilities, EPS anticipates reducing its production costs significantly. The European operations of the new entity will be based in Turbenthal, Switzerland and SUTEC's managers will join the combined global management team. The companies anticipate closing of the merger in October 2010.
