CHANGE OF CONTINUING SPONSOR

Description

The Board of Directors (the "Board") of Adventus Holdings Limited (the "Company") wishes to announce that it has appointed Stamford Corporate Services Pte. Ltd. ("SCS") to act as its Continuing Sponsor, in place of the current Continuing Sponsor, Collins Stewart Pte. Limited ("CSPL"). SCS' appointment as Continuing Sponsor will take effect from 1 March 2012. The decision for the change of Continuing Sponsor was prompted by the Board's plan to rationalize the Company's costs, taking into consideration its intention to rely on internal resources within the Group for future merger and acquisition activities. Pursuant to the requirement of Rule 228(5) of Section B (Rules of Catalist) of the SGX-ST Listing Manual (the "Catalist Rules"), CSPL, as the current Continuing Sponsor, has confirmed that, as at 29 February 2012 and based on information available to CSPL, it is not aware of any non-compliance with the Catalist Rules by the Company that has not been brought to the attention of SCS. CSPL has also made itself available for discussion with SCS as required under Rule 228(3) of the Catalist Rules. The Board would like to take this opportunity to record its thanks to CSPL for its past guidance and sponsorship as a Continuing Sponsor.
