| # Please specify details | The substantial shareholding interest of CSAG arises because: As announced by the Company on 9 March 2012 (the "Announcement"), the Company entered into a placement agreement dated 9 March 2012 (the "Placement Agreement") with Credit Suisse Singapore Limited ("CSSL") and DBS Bank Ltd ("DBS" and together with CSSL, the "Placement Agents") for the placement of 110,000,000 ordinary shares ("Shares") in the share capital of the Company (the "New Shares"). To facilitate the delivery of the New Shares to the subscribers procured by the Placement Agents, a securities lending agreement dated 9 March 2012 (the "Securities Lending Agreement") was entered into among Jit Sun Investments Pte. Ltd., Lee Kian Soo and Lee Chye Tek Lionel (collectively, the "Lenders") and the Placement Agents. Pursuant to the Securities Lending Agreement, the Placement Agents agreed to borrow from the Lenders and the Lenders agreed to lend an aggregate of 110,000,000 Shares (the "Loan Shares") to the Placement Agents. Pursuant to the Securities Lending Agreement, the Lenders had on 12 March 2012 loaned 41,000,000 Shares (the "CS Loan Shares") to CSSL for the purposes of the Placement, of which 7,834,000 Shares were transferred by CSSL to Credit Suisse Securities (Europe) Ltd ("CS Europe") on 12 March 2012 for the purposes of the Placement. The CS Loan Shares were credited by CSSL and CS Europe to placees on 15, 16 and 19 March 2012 pursuant to the Placement. In connection with the Placement, on 19 March 2012, the New Shares were issued by the Company to CSSL (in its capacity as Settlement Bank) for the purpose of returning the Loan Shares to the Lenders on behalf of the Placement Agents. CSSL is a wholly owned subsidiary of CSAG. Accordingly, CSAG is deemed to have an interest in the Loan Shares as a result of CSSL's interest in the New Shares. CSAG is in tum a wholly owned subsidiary of CSGAG. Accordingly, CSGAG is deemed to have an interest in the New Shares as a result of CSAG's interest in the New Shares. |
