In a recently filed federal class action complaint, Swisher's officers and directors were charged with violating the Securities Exchange Act of 1934. Specifically, the complaint alleges that defendants' made false and/or misleading statements and/or failed to disclose: (1) that Swisher was improperly accounting for business acquisitions; (2) that Swisher was improperly calculating its allowance for doubtful accounts receivable; (3) that, as a result, Swisher's income was overstated; (4) that, as such, Swisher's financial results were not prepared in accordance with Generally Accepting Accounting Principles; (5) that Swisher lacked adequate internal and financial controls; and (6) that, as a result of the foregoing, Swisher's financial statements were materially false and misleading at all relevant items. Further, the complaint alleges that due to the foregoing, Swisher shareholders suffered heavy losses.
