| Description | Further to the announcement made on 29 March 2012, Fraser and Neave, Limited (the "Company") announces that a joint announcement (the "Joint Announcement") has been issued by FCL (China) Pte Ltd, Riverbook Group Limited (together, the "Joint Offerors") and Frasers Property (China) Limited (the "Subsidiary") setting out the particulars of the proposed privatisation of the Subsidiary by the Joint Offerors by way of a scheme of arrangement under Section 99 of the Companies Act 1981 of Bermuda (the "Proposed Transaction") and resumption of trading in shares in the Subsidiary. A copy of the Joint Announcement is attached for information. The Proposed Transaction is not expected to have a material effect on the net tangible assets per share or earnings per share of the group for the current financial year. Save as expressly disclosed in the Joint Announcement, none of the directors of the Company has, directly or indirectly, any interest in the Proposed Transaction.
