Almere, 10 May 2012 - All the items on the agenda of the Annual General Meeting of Shareholders held on 10 May 2012 were approved or adopted by the shareholders as proposed.
The shareholders adopted the annual accounts for 2011. The dividend for the 2011 financial year was set at € 0.17 per ordinary share with a nominal value of € 0.50. Shareholders may choose to take up the dividend fully in cash, subject to 15% dividend withholding tax, or in shares. The USG People share will be quoted ex-dividend on 14 May 2012 and shareholders can specify their preference for either a cash or stock dividend from 17 May 2012 to 31 May 2012, 3.00 p.m. CET. Payment of the dividend and distribution of the shares following the exchange of dividend entitlements will start on 6 June 2012.
The terms of office of Supervisory Board members Ms Van Lier Lels and Mr Dumolin came to an end in 2012. Mr Dumolin is not available for reappointment. Mr Veerman, on the other hand, stated his eligibility for reappointment prior to the end of his current term. The Supervisory Board proposed that both Ms Van Lier Lels and Mr Veerman be reappointed. Mr Veerman was also strongly recommended for reappointment by the Central Works Council. Ms Van Lier Lels and Mr Veerman were reappointed by the shareholders for a period of two and four years, respectively.
Following the Annual General Meeting of Shareholders the Supervisory Board appointed Mr Vanhoe as Chief Operational Officer for a period of four years.
The remaining items on the agenda were likewise approved or adopted by the shareholders as proposed.
