Return of Capital

Following the approval by the sole shareholder of: the return of capital; the
cancellation of the capital redemption reserve and the cancellation of the
share premium account, by shareholder's resolution on 30th October 2014, CHUK
wishes to provide further information for the benefit of the Noteholders of the
Outstanding US$100,000,000 Primary Capital Undated Floating Rate Notes (ISIN:
GB0004955547) (the 1985 Notes) and the US$125,000,000 Primary Capital Undated
Floating Rate Notes (formerly with ISIN: GB0004955760) (the 1986 Notes) (the
1986 Notes having become fungible and now forming a single series with the 1985
Notes, and being the Notes) (ISIN: GB0004955547)) issued by Commerzbank
Holdings (UK) Limited (formerly, among other names, Kleinwort, Benson, Lonsdale
plc).

CHUK would like to notify the market that the share capital of CHUK now
consists of:

     15,382,429 'Ordinary Shares' of £1.00 each with voting rights;
