SCHMOLZ + BICKENBACH lanciert Angebot zum Anleiherückkauf im Rahmen eines Kontrollwechsels

Luzern, 6. Februar 2020 - SCHMOLZ + BICKENBACH, ein weltweit führendes Unternehmen für Speziallangstahl, hat heute im Zuge des am 8. Januar 2020 erfolgten Kontrollwechsels ein Rückkaufangebot für die am 24. April 2017 und 25. Juni 2018 begebene EUR 350 Millionen 5,625 % Anleihe mit Fälligkeit 2022 lanciert.
Die Inhaber der Anleihe wurden heute darüber informiert, dass ein Kontrollwechsel im Sinne der Emissionsbedingungen der Anleihe stattgefunden hat im Zusammenhang mit einer Aktienemission der SCHMOLZ + BICKENBACH AG, der Muttergesellschaft der Emittentin SCHMOLZ + BICKENBACH Luxembourg Finance S.A. ("Emittentin"). Aufgrund des Kontrollwechsels hält Martin Haefner direkt oder indirekt 49,6 % der ausstehenden Aktien von SCHMOLZ + BICKENBACH AG. Die Kapitalerhöhung wurde am 8. Januar 2020 wirksam.
Aufgrund des Eintritts dieses Kontrollwechsels haben die Inhaber der Anleihe das Recht, von der Emittentin die Rückzahlung der Anleihe zu einem Kaufpreis von 101% des Nennwertes zuzüglich aufgelaufener und nicht gezahlter Zinsen und etwaiger Zusatzbeträge zu verlangen.
Die Angebotsfrist an die Inhaber der Anleihe endet am 13. März 2020 um 17.00 Uhr mitteleuropäischer Zeit (MEZ). Der Kauf der gültig angedienten Anleihen wird gegen Zahlung des Kaufpreises am 31. März 2020 abgewickelt.
