* Plans to immediately purchase sufficient company dbt to satisfy all financial
covenants
* Deal for aggregate purchase price of about 94.5% of book value of jevco as at

* Will also receive a dividend of up to C$40 million from jevco
* Says 100% cash transaction for all of the issued and outstanding shares of
