shares to Terra
* Says terra's 7,500,000 shares are equal to 18.24% of novus's 41,125,000

* Says intends to hold the shares for investment purposes only, does not have
any present intention to acquire any additional shares of novus
* Says the shares were acquired at a deemed value of $0.20 each
* Says also wishes to advise that the company has granted stock options to
purchase up to 1,200,000 shares at $0.45 for a period of ten years
