DETROIT, Feb 19 (Reuters) - General Motors Co in a filing with the U.S. Securities & Exchanges Commission:
* says CEO Ed Whitacre annual base cash salary $1.7 million
* says U.S> Treasury's TARP special master approved Whitacre compensation on February 17
* says Whitacre will receive $5.3 million of salary stock awards over three years starting in 2012
* says whitacre will also receive $2 million of restricted stock units under
2009 long
term incentive plan
* says former GM CEO Fritz Henderson engaged by GM as consultant effective
February 18
* says Henderson will receive $59,090 per month, plus expenses under
contract that expires at end of the year
* says Henderson will consult on international operations
