BAD NEUSTADT AN DER SAALE (dpa-AFX) - German hospital operator Rhoen-Klinikum AG (RKKPF.PK) said that the two plaintiffs remaining after the withdrawal of the lawsuit filed by Asklepios Kliniken Verwaltungsgesellschaft mbH have withdrawn their lawsuits against the resolution of the general meeting of 12 June 2013 to delete the qualified majority requirement of more than 90% for certain important decisions of the general meeting provided for in article 17(4), 1st sub-paragraph of the articles of association.
The lawsuits were withdrawn in coordination with the shareholder B. Braun Melsungen AG. The Company is not involved therein.
The deletion of Section 17 (4), 1st sub-paragraph of the articles of association will become effective only upon entry into the commercial register of Rhoen-Klinikum AG.
In consequence of the lawsuits filed against the resolution of the general meeting, the local court of Schweinfurt had not proceeded with the entry procedure. Due to the withdrawal of all lawsuits against the resolution regarding the change of the articles of association, the Company expects the change of the articles to be entered into the commercial register in a timely manner.
In addition, the court informed the Company that the separate law suits filed against the resolution of the general meeting of 12 June 2014 regarding the election of Prof. Ludwig Georg Braun into the supervisory board of the Company have also been withdrawn.
