Versant Completes Its Restructuring With the Sale of Its WebSphere Consulting Practice


FREMONT, Calif., Feb. 7 /PRNewswire-FirstCall/ -- Versant Corporation , an industry leader in specialized data management, today announced that it has sold its WebSphere consulting practice.

In an effort to focus Versant more on its core database business, the Company has sold its WebSphere consulting practice to Sima Solutions, a company founded by James Pollitt, who was the manager of Versant's WebSphere practice, in exchange for a combination of upfront cash of $500,000 and earn-outs over the next eight quarters. This consulting practice has been focused on serving customers using products in the IBM WebSphere product family with a significant amount of the business coming from IBM utilizing Versant as a subcontractor.

This transaction effectively completes the restructuring that the Company started in June 2005. The sale is effective February 1, 2006 and Versant will reflect this transaction in its second quarter ending April 30, 2006.

Over the past two years the WebSphere consulting practice had averaged approximately $5.0 million in revenues and $375,000 in operating income annually. If the WebSphere business as operated by Sima continues in the same fashion over the next two years, with continuity in its workforce, then Versant would receive approximately $900,000 in earn-out payments over the next two years, which would bring the total purchase price to approximately $1.4 million.
