PECO II Announces Changes To Board of Directors


GALION, Ohio, April 4 /PRNewswire-FirstCall/ -- PECO II, Inc. , a full-service provider of engineering and installation on- site services and a manufacturer of communications power systems and equipment to the communications industry, announced today that Albert Chang of the Delta Group has joined the company's Board of Directors following the closing of its Delta transaction. Chang fills a vacancy on the 11-member board created by the resignation last August of Dr. Lucille G. Ford.

Separately, the company announced that Eugene V. Smith has resigned after 17 years of service on the board and that he was named an emeritus director.

Chang, 45, has been general manager of Power System Business Group II at Delta Electronics, Inc. since 2001. He is in charge of telecom power, Uninterruptible Power Systems (UPS), and networking power products and business at Delta Group. In that capacity, he is responsible for a $500 million business with multiple manufacturing sites and more than 4,600 employees worldwide.

"His direct involvement will assure that we take full advantage of the synergies of the Delta-PECO II alliance to become a leader in the global telecom power business.

Smith, 83, has been the general partner of Shelby Horizons Ltd., a partnership involved in warehousing, since 1985, and has served as vice president of FVF, Inc., an agribusiness, since 1981.

On October 13, 2005, PECO II and the Delta Group signed a definitive agreement pursuant to which PECO II agreed to acquire exclusive rights to certain business and inventory for Delta Group's U.S. and Canadian Telecom Power Division in exchange for an equity position in PECO II that enables Delta to become PECO II's largest shareholder. Additionally, the transaction included the execution of a supply agreement that will allow PECO II to access Delta's substantial engineering capabilities and high-quality, cost-effective component manufacturing for its power systems.
