Ventas Files Automatic Shelf Registration Statement


LOUISVILLE, Ky., April 7 /PRNewswire-FirstCall/ -- Ventas, Inc. ("Ventas" or the "Company") said today that it has filed with the Securities and Exchange Commission (the "Commission") an automatic shelf registration statement on Form S-3, relating to the offer and sale, from time to time, of an indeterminate amount of debt securities and related guarantees, common stock, preferred stock, depositary shares and warrants. The registration statement replaces the Company's previous universal shelf registration statement, under which approximately $501 million of securities remained available for offering.

The Company said that it believes that this registration statement, which became effective upon filing with the Commission, will provide the Company with greater flexibility and efficiency in raising debt and/or equity through the capital markets. However, the Company has no current intention to issue any securities.
