Upon being declared effective by the SEC, the shelf registration statement will permit the company, from time to time, to issue various securities for proceeds in the aggregate amount of up to $100 million. The terms of any such future offerings and the type of securities to be issued would be determined at the time of any future offering.
A shelf registration statement relating to these securities has been filed with the SEC but has not yet become effective.
