TransDigm to Redeem All Remaining 8 3/8% Senior Subordinated Notes Due 2011

CLEVELAND, July 7 /PRNewswire-FirstCall/ -- TransDigm Inc., a wholly-owned subsidiary of TransDigm Group Incorporated , announced today that on August 7, 2006 it will redeem for cash all of its outstanding 8 3/8% Senior Subordinated Notes due 2011 (CUSIP No. 893647AG2) for a redemption price of $1,062.81 per $1,000 principal amount of the notes, together with accrued and unpaid interest up to but not including the redemption date. On June 23, 2006, TransDigm closed on its previously announced tender offer and consent solicitation for the notes. In connection with the closing, TransDigm purchased all of the issued and outstanding notes that were validly tendered, totaling $399,670,000 in aggregate principal amount. Accordingly, as of July 7, 2006, there remains outstanding $330,000 in aggregate principal amount of the notes.

All notes outstanding on August 7, 2006 will be deemed to have been redeemed by TransDigm, whether or not they have been surrendered for redemption, and all rights of the holders thereof will terminate, with the exception of the rights of such holders to receive payment of the redemption price upon the presentation and surrender of their notes, together with accrued and unpaid interest thereon up to but not including the redemption date.

A notice of redemption is being mailed by The Bank of New York, the trustee for the notes, to all registered holders of the notes.
