DENVER, Nov. 22 /PRNewswire-FirstCall/ -- VitaCube Systems Holdings, Inc., d/b/a/ XELR8 Holdings, Inc. , a provider of functional foods, beverages and nutritional supplements, today announced that in response to a letter received from the American Stock Exchange (the "AMEX") on November 17, 2006, which noted the Company's failure to comply with Section 1003(a)(iv) of the AMEX Company Guide, which states that it has sustained losses which are so substantial in relation to its overall operations or its existing financial resources, or its financial condition has become so impaired that it appears questionable, in the opinion of the Exchange, as to whether the Company will be able to continue operations and/or meet its obligations as they mature. The Company will submit a plan of compliance by December 1, 2006 advising the AMEX of actions it has taken or will take to return to compliance with continued listing standards within 90 days.

Upon submission of the plan of compliance, the AMEX Listings Qualifications Department will evaluate the plan and make a determination as to whether the Company has made a reasonable demonstration of an ability to regain compliance with the continued listing standards within the specified timeframes, in which case the plan will be accepted. If the plan is accepted, the Company may be able to continue its listing during the plan period, during which time it will be subject to periodic review to determine whether or not it is making progress consistent with the plan.
