Fidelity Asian Values PLC At the Company's Annual General Meeting held on 23 November 2006 all resolutions were duly passed. The resolutions passed under Special Business were as follows: An Ordinary Resolution to approve the continuation of the Company as an investment trust until the conclusion of the annual general meeting of the Company to be held in 2011 or any earlier date if so required under the Articles of Association. As permitted under the Articles of Association, an Ordinary Resolution to approve the increase in the maximum aggregate annual fees payable to Directors from £70,000 to £100,000. - An Ordinary Resolution granting the Directors authority to allot relevant securities up to an aggregate nominal amount being approximately 5% of the issued share capital of the Company as at 2 October 2006. - A Special Resolution granting the Directors authority to allot equity securities for cash without first offering such shares to existing ordinary shareholders pro-rata to their existing holdings provided this authority is limited: to the allotment of equity securities in connection with a rights issue; to the allotment of equity securities (other than pursuant to a rights issue) up to an aggregate nominal amount of £1,168,893 - some 5% of the issued share capital of the Company on 2 October 2006; and to the allotment of equity securities at a price of not less than the fully diluted net asset value per share. - A Special Resolution granting the Company authority to purchase up to 14.99% of its own shares in issue on 2 October 2006 for cancellation.
