National Financial Partners Announces the Exercise of the Underwriters' Option to Purchase Additional Convertible Senior Notes and Shares


NEW YORK, Jan. 19 /PRNewswire-FirstCall/ -- National Financial Partners Corp. , a national financial services distribution company, announced today that the underwriters for NFP's convertible senior notes offering and secondary offering exercised in full their options to purchase an additional $30 million aggregate principal amount of notes and an additional 241,256 shares of common stock. As completed, the total convertible issuance size will be $230 million and a total of 1,850,105 shares of common stock will be sold in the secondary offering, including the underwriters' option. The offered shares will be sold by Apollo Investment Fund IV, L.P., Apollo Overseas Partners IV, L.P., principals of NFP's acquired firms, certain employees and permitted transferees of the foregoing. NFP will not receive any proceeds from the sale of shares of common stock in the offering, including the additional shares sold at the underwriters' option. In addition, NFP will repurchase 2,300,000 shares from Apollo Investment Fund IV, L.P. and Apollo Overseas Partners IV, L.P., 300,000 of which result from the overallotment.
