The registration statement relates to the resale by holders of EMC's 1.75% Convertible Senior Notes due 2011 and 1.75% Convertible Senior Notes due 2013 (collectively, the "Notes"), and the shares of EMC's common stock issuable upon conversion of the Notes. EMC's initial issuance of the Notes, in an aggregate principal amount of $3.45 billion, was completed on November 17, 2006.
