NEW YORK, March 2 /PRNewswire-FirstCall/ -- Weight Watchers International, Inc. today announced that Ann Sardini, Chief Financial Officer, has adopted a written plan for the purpose of selling limited amounts of her Weight Watchers equity holdings. The written plan was adopted in accordance with Rule 10b5-1 of the Securities and Exchange Act of 1934, as amended, and enables Ms. Sardini to exercise stock options prior to their expiration and to diversify her holdings for financial and estate planning purposes.
Under this written plan, Ms. Sardini intends to exercise stock options and sell up to 60,000 of the underlying shares. These sales may take place from time to time over a nine month period beginning March 15, 2007, subject to certain timing conditions and minimum price levels.
Rule 10b5-1 allows officers and directors of public companies, at a time they are not aware of material nonpublic information, to adopt predetermined plans for selling shares without regard to any subsequent non-public information the individual may receive.
