GIVATAYIM, Israel, April 1 /PRNewswire-FirstCall/ -- Pointer Telocation Ltd. , a leading provider of services to the insurance and automotive industries including road-side assistance, fleet management and stolen vehicle retrieval services in Israel, Argentina and Mexico, today announced it is raising $8,452,500 from US institutional funds.
Pointer Telocation will issue 805,000 ordinary shares at a price per share of $10.5. The investors in the private placement will also be issued warrants to purchase 0.5 ordinary share per each share issued. The warrants will be exercisable into ordinary shares of the company, at an exercise price per share of $12.6 and will be exercisable for a period of five years.
Following the transaction, Pointer will have approximately 4.45 million shares outstanding. The financial institutions purchased shares in this offering will hold approximately 18% of Pointer's shareholders equity.
On a fully diluted basis, their stake will be approximately 21.5%.
The issuance of the shares and the warrants is subject to regulatory approvals.
