Vocus Announces Exercise of Over-Allotment Option on Follow-on Public Offering


LANHAM, Md., April 11 /PRNewswire-FirstCall/ -- Vocus, Inc. announced today that it has closed the sale of 3,504,144 shares of its common stock in its follow-on public offering. Of this amount, a total of 1,217,137 shares were sold by Vocus and 2,287,007 shares were sold by the selling stockholders identified in the offering prospectus. 457,062 shares sold by the selling stockholders were sold pursuant to the exercise in full of the underwriters' over-allotment option. The follow-on offering price was $19.50 per share. The aggregate sale price for all of the shares sold by Vocus was approximately $23.7 million, resulting in net proceeds to Vocus after payment of underwriting discounts and commissions of approximately $22.4 million. Vocus will not receive any of the proceeds from the sale of shares of common stock by the selling stockholders.

Thomas Weisel Partners LLC served as sole book-running manager for the offering. RBC Capital Markets, Wachovia Securities, William Blair & Company, Canaccord Adams and Pacific Crest Securities were co-managers.
