NEW YORK, May 4 /PRNewswire-FirstCall/ -- NexCen Brands, Inc. (the "Company") announced today it has filed a resale shelf registration with the Securities and Exchange Commission to register shares of its common stock that the Company issued in connection with its acquisitions of The Athlete's Foot, Bill Blass, MaggieMoo's and the Waverly brand. The Company is registering these shares pursuant to the terms of registration rights agreements with the stockholders that acquired these shares.
The Company will not receive any proceeds from potential sales of stock by the holders of the shares to be registered. In addition, once the shares are registered for resale, holders continue to be subject to lock-up provisions that limit the amount of shares that they may be entitled to sell, as we discuss in the registration statement.
