JOINVILLE, Brazil, May 24 /PRNewswire-FirstCall/ -- Datasul SA (Bovespa Ticker: DSUL3), a Brazilian multinational provider of integrated management software solutions, announces the acquisition of 80% of YMF Arquitetura Financeira de Negocios SA ("YMF"), a firm specialized in the development and distribution of software and services for asset management industry, market leader in Brazil and in Latin America. Established in 1993, with headquarters in Sao Paulo and offices also in Rio de Janeiro, Curitiba and Porto Alegre, YMF built its expertise in banks, asset management firms, hedge funds, pension funds, insurance companies and stock exchanges.
With this acquisition, Datasul structures the development unit for the financial sector and immediately adds 70 large-sized clients, among which are largest financial groups with activities in Brazil, such as ABN, Bradesco, HSBC, Itau, Santander and Unibanco. YMF offers systems that cover the whole investment cycle, including portfolio management, conciliations, SWIFT/SPB (Brazilian Payments System) messaging, compliance and performance attribution, processing daily more than R$ 1 trillion among its 14 thousand portfolios and 4 thousand funds. The company possesses today, ca. 250 contracts distributed among the clients. In 2006, revenues reached R$ 33 million, 17% of growth as compared to the previous year. After its conversion into one of our subsidiaries, the company will continue under the command of Yuryi Ferber and Diether Muller, founding partners of YMF, and it will be reinforced by having Marcos Puccini, formerly at Datasul business development area, who assumes as the CFO of YMF.
With the acquisition of 80% of YMF, Datasul becomes the controlling shareholder and establishes the strongholds that will enable to consolidate its outlined growth strategy, namely offering vertical and complementary solutions in strategic markets. The acquisition amounts to R$ 43.68 million, equivalent to 7 times the parcel of the EBITDA for the following 12 months to be consolidated in Datasul's results, abiding to the terms and conditions celebrated between the parties, and will be fully paid with own cash position.
