SCHAUMBURG, Ill., May 30 /PRNewswire-FirstCall/ -- Motorola, Inc. today announced that the preliminary report of IVS Associates, Inc., the independent Inspector of Election for Motorola's 2007 Annual Meeting of Shareholders, has confirmed that all Board director nominees were elected by shareholders voting in the election of directors at the Annual Meeting.
According to IVS, Dr. John A. White was elected by a margin of more than 214 million votes, or 13% of the votes cast for the election of Messrs. White and Icahn. Dr. White received approximately 931.7 million votes in favor of his election as compared to Carl C. Icahn, who received approximately 717.1 million votes in favor of his election. All remaining Board nominees were re-elected with at least 1.6 billion votes, or more than 96% of the votes cast in the election of directors.
Separately, IVS also reported the preliminary results of the other proposals voted on at the Annual Meeting:
-- Proposal 2, requesting shareholder approval of an amendment to the
Motorola Employee Stock Purchase Plan of 1999, was approved by 92.0% of
the shares present and entitled to vote at the meeting.
-- Proposal 3, a shareholder proposal titled "Shareholder Vote on
Executive Pay" was supported by 51.8% of the shares present and
entitled to vote at the meeting.
-- Proposal 4, a shareholder proposal titled "Recoup Unearned Management
Bonuses", was supported by 59.2% of the shares present and entitled to
vote at the meeting.
Shareholders representing 1,676,089,963 shares, or 70.3%, of the Company's common stock, either voted by proxy or in person at the meeting.
The Company anticipates receiving IVS's final report on the votes cast at the Annual Meeting in the near future. The Company does not expect any meaningful variations between the preliminary and final reports of the Inspector of Election.
