International Coal Group, Inc. Announces Proposed Private Placement of Convertible Notes


SCOTT DEPOT, W.Va., July 24 /PRNewswire-FirstCall/ -- International Coal Group, Inc. announced today that it proposes to make, subject to market conditions and other factors, a private offering of $180.0 million in aggregate principal amount of convertible senior notes due 2012 to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"). The Company will also grant the initial purchaser of the notes a 30-day option to purchase additional notes in an amount up to $27.0 million.

The principal amount of the notes will be convertible into cash, and amounts above the principal amount, if any, will be convertible into shares of the Company's common stock or, at the Company's option, cash. The interest rate, conversion rate, conversion price and other terms of the notes will be determined at the time of the pricing of the offering. The notes will be guaranteed on a senior unsecured basis by all of the Company's existing subsidiaries. The notes will be effectively subordinated to the Company's and the guarantors' secured indebtedness to the extent of the value of the related collateral. The holders of the notes may require the Company to repurchase all or a portion of their notes in the event of certain fundamental change transactions at a cash repurchase price equal to 100% of the principal amount plus accrued and unpaid interest to the repurchase date.

The Company intends to use the proceeds of the proposed offering to repay all amounts outstanding under our $25.0 million bridge loan, repay approximately $65.0 million outstanding under our senior credit facility and for general corporate purposes.
