Huntington Bancshares Incorporated Announces Successful Completion of Its Previously Announced $500 Million Convertible Preferred Stock Offering

COLUMBUS, Ohio, April 22 /PRNewswire-FirstCall/ -- Huntington Bancshares Incorporated (Nasdaq: HBAN; http://www.huntington.com/) completed its previously announced public offering of 500,000 shares of 8.50% Series A Non-Cumulative Perpetual Convertible Preferred Stock with a liquidation preference of $1,000 per share, resulting in an aggregate liquidation preference of $500 million.

Commenting on the offering, Thomas E. Hoaglin, chairman, president, and chief executive officer, said, "We are pleased that we were successful in raising the full amount and at favorable terms. We also were pleased with the mix of the initial ownership distribution. Raising this capital will add about one full percentage point to our capital ratios, giving us a very strong capital position and ratios above most of our peers."

As previously announced, the Series A Preferred Stock will pay, when, as and if declared by the company's board of directors, dividends in cash at a rate of 8.50% per annum, payable quarterly, commencing July 15, 2008.

Each share of the Series A Preferred Stock will be convertible at any time, at the option of the holder, into 83.6680 shares of common stock of Huntington, which represents an approximate initial conversion price of $11.95 per share of common stock. The conversion rate and conversion price will be subject to adjustments in certain circumstances. On or after April 15, 2013, the Series A Preferred Stock will, at the option of the company, be subject to mandatory conversion into the company's common stock at the prevailing conversion rate, if the closing price of the company's common stock exceeds 130% of the then applicable conversion price for 20 trading days during any 30 consecutive trading day period.

Huntington intends to use the net proceeds for general corporate purposes, including increasing its liquidity and capital.
