Further to the announcement on 18 December 2007 of the proposed acquisition of
FM104, UTV announces that the resolution to approve the Acquisition was duly
passed by the requisite majority at the Extraordinary General Meeting of the
Company, held at 12.00pm (noon) today.

Completion of the Acquisition is expected to take place on 10 April 2008.

Terms used in this announcement shall have the same meaning as defined in the
circular dated 20 March 2008.
