National Penn Bancshares Files Universal Shelf Registration Statement

BOYERTOWN, Pa., Nov. 7 /PRNewswire-FirstCall/ -- National Penn Bancshares, Inc. announced today that it has filed a universal automatic shelf registration statement with the Securities and Exchange Commission (SEC). The shelf registration statement permits National Penn, from time to time, to sell, in one or more public offerings, shares of common stock, shares of preferred stock, debt securities, depositary shares, warrants, stock purchase contracts, stock purchase units, or any combination of such securities. The terms of any such future offerings would be established at the time of the offering.

Commenting on the filing, Glenn E. Moyer, National Penn Bancshares, Inc. president and chief executive officer stated, "Although we have no public capital raises currently planned, this registration statement will increase National Penn's financial flexibility and allow us to act more quickly to purse strategic opportunities in the future. In the meantime, we continue our previously-announced evaluation for participation in the US Treasury Department's TARP Capital Purchase Program."
