(together the "Issuers")--had received requisite consents from holders of their Senior Toggle Notes due 2017 (CUSIP Nos.: 02004JAD2 and U01988AB7) (the "Notes") to remove certain reporting requirements and make other changes to the Notes indenture. The Issuers initially commenced their consent solicitation and tender offer on February 18, 2009.
The Issuers are making the consent solicitation and tender offer only by, and pursuant to the terms of, the Consent Solicitation Statement and Offer to Purchase dated February 18, 2009, as modified by the press release of Verizon Wireless dated March 5, 2009. The terms and conditions of the consent solicitation and tender offer set forth in the Consent Solicitation Statement and Offer to Purchase, as so modified, including the Consent Payment Deadline, and Expiration Time, remain in effect.
