VeruTEK Technologies, Inc. (VTKT.OB) announced today that it has voluntarily suspended its obligation to file certain reports with the Securities and Exchange Commission by filing a Form 15. The filing of the Form 15 earlier today immediately suspended VeruTEK’s duty to file reports under Section 15(d) of the Securities Exchange Act of 1934, as amended, including Forms 10-K, 10-Q and 8-K. VeruTEK was eligible to cease filing such reports because it has fewer than 300 holders of record of its common stock.
As a result of filing the Form 15, VeruTEK expects that its common stock will be removed from quotation on the OTC Bulletin Board. There can be no assurance that VeruTEK’s common stock will be traded in any other forum, such as the Pink Sheets, or that any brokers will continue to make a market in VeruTEK’s common stock.
