| Description | We refer to the announcement dated 5 May 2009 wherein ChungHong Holdings Limited ("CHL" or "Company") and E-Top Union Inc. ("E-Top") jointly announced that the Board of Directors of the Company had received a formal proposal ("Delisting Proposal") from Lead Data Inc. ("LDI"), via its wholly-owned subsidiary E-Top ("Announcement"), to seek the voluntary delisting of the Company from the Official List of the Singapore Exchange Securities Trading Limited ("SGX-ST") pursuant to Rules 1307 and 1309 of the Listing Manual of the SGX-ST ("Listing Manual") ("Proposed Delisting"). Pursuant to Rule 1309 of the Listing Manual, upon the approval of resolution in relation to Proposed Delisting ("Delisting Resolution") by shareholders of the Company in an extraordinary general meeting to be convened ("EGM"), E-Top will make a cash offer ("Exit Offer") to acquire all the issued ordinary shares of the Company ("Shares"), save for those already owned or controlled by E-Top and the parties acting in concert with it, namely LDI, ComWorld Inc. and Mr. Dick Lin (Lin, Teng-Kuei). In respect of the Announcement, the Board of Directors of LDI wishes to update its rationale for the Proposed Delisting and Exit Offer as well as its intentions relating to the Company as set out in Section 9(a), 9(d) and Section 10 of the Announcement respectively.
