Executive Committee
The Board of Directors of EDF Energies Nouvelles, which met on 22 September 2009 and was chaired by Pâris Mouratoglou, extended David Corchia’s term of office as Chief Executive Officer for a further three years, with effect from 1 January 2010.
The Board of Directors also extended the terms of office of the three Chief Operating Officers, namely Yvon André (France and New Activities), Christophe Geffray (Industry) and Michel Trousseau (Northern/Eastern Europe, and Photovoltaic Supply).
At the same time, the Board restated its confidence in the entire management team, which comprises, in addition to the Chief Executive Officer and Chief Operating Officers, Philippe Crouzat, Chief Financial Officer and Laurence Juin, Deputy Chief Executive Officer (Southern Europe).
During this meeting, the Board of Directors adopted, as it had committed to the requisite changes to comply fully with the recommendations of the AFEP-MEDEF code concerning the compensation paid to the officers and directors of listed companies. Accordingly, David Corchia announced that he was forgoing the benefit of his work contract at 31 December 2009 so as not to hold an appointment as Chief Executive Officer at the same time as a work contract.
On David Corchia’s recommendation, the Board of Directors also appointed Olivier Paquier as Chief Operating Officer in charge of EDF Energies Nouvelles’ Distributed energies business. Olivier Paquier will become a member of EDF EN’s Executive Committee.
His appointment is effective starting 1 October 2009 and his term of office runs until 31 December 2012. A proposal will be made at the next meeting of the Board of Directors of EDF Energies Nouvelles Réparties to appoint Olivier Paquier as Chairman and Chief Executive Officer of the company.
Board of Directors
The Board of Directors took note of the appointment of Jean-Charles Samy as EDF’s representative on the Board of EDF Energies Nouvelles, as a replacement for Olivier Paquier.
The Board of Directors also took note of the resignation of Jean-François Astolfi from his duties as a director. The Board of Directors expressed its gratitude to Jean-François Astolfi for his contribution to EDF Energies Nouvelles and coopted Corinne Fau to replace him at the recommendation of EDF.
Olivier Paquier
Olivier Paquier, 45, is a graduate of the École Nationale d’Administration (ENA) and started his career in the forecasting department of France’s Ministry of the Economy and Finance as deputy to the head of the external office and then the financial operations office. He then moved to the Treasury, working as financial attaché for CIS countries in Moscow before becoming head of the Africa, Caribbean, Pacific-Franc Zone office in 1998 and then head of the insurance company office in 2001. In 2002, he was appointed deputy head of insurance in the Treasury management team. In 2003, he became head of the EDF’s group treasury and subsidiary financing division, and in 2005 he was made head of EDF’s M&A and structured finance division.
Corinne Fau
After graduating from the Institut d’Etudes Politiques (Institute of Political Studies) in Paris and gaining a master’s degree in economic science, Corinne Fau, 48, began her career as an auditor with Befec Mulquin et Associés. She then worked as a manager in the corporate finance department of Price Waterhouse from 1989 to 1993. She joined the EDF Group in 1994 as head of mergers and acquisitions in the Synergy Development Services unit, before moving to EDF’s finance department in 1998 where she was appointed as head of mergers and acquisitions in the services sector, then oversaw preparations for the change in EDF’s status by heading up the initial public offering project. In 2006, she became Chief Financial Officer for the Commerce department of EDF.
Jean-Charles Samy
A graduate of the École Polytechnique and a member of the Ponts et Chaussées civil engineering corps, Jean-Charles Samy, 46, began his career at the French finance ministry, where he was notably a rapporteur to the interministerial committee for industrial restructuring. He joined the Thalès group’s avionics division in 1996 as head of external development. During 1999, he moved to the Alstom group as director of strategy for the Transportation division. He was appointed head of mergers and acquisitions in 2001 and notably oversaw execution of the Alstom group’s disposal programme. In 2006, he joined Dresdner Kleinwort in Paris, where he was in charge of the Mergers and Acquisitions department for France. He moved to the EDF group in 2008 as Director of Corporate Finance.
