China Nutrifruit Group Limited Completes Private Placement Financing

DAQING, China, Oct. 9 /PRNewswire-Asia-FirstCall/ -- China Nutrifruit Group Limited (NYSE Amex: CNGL) ("China Nutrifruit" or "the Company"), a leading producer of premium specialty fruit based products in China ("PRC"), today announced that it effected the second and final closing of a private placement transaction and issued 43,916 units at a purchase price of $33.00 per unit for gross proceeds of $1.45 million, each unit consisting of one share of the Company's newly-designated Series A Convertible Preferred Stock and a warrant to purchase 2.5 shares of the Company's common stock. Combined with the initial closing of the offering on October 1, 2009, the Company has received aggregate gross proceeds of approximately $13.31 million, which will be used to add a new glazed fruit line and concentrate pulp production line.

The Company is obligated to register the shares of common stock underlying the Series A Convertible Preferred Stock and Warrants within a pre-defined period.
